Code of the Contemporary Art Collector. (Part 6 Part of the governing bodies)

Collectors may be appointed members of the governing bodies of institutions on the basis of their experience, experience, knowledge, competence, ability to defend the institution's interests and other significant skills related to art. They agree to the appointment and perform appropriate actions in the interests of the Institution without expecting any direct counterparties for themselves or their collection.

MERIT-BASED GOVERNANCE MEMBERSHIP Collectors guarantee that their appointment is primarily based on basic skills related to art and is not directly related to any past, current or potential support of the Institution.

DISCLOSURE OF CONFLICT OF INTEREST Collectors avoid or immediately disclose any actual, potential or alleged conflict of interest that may affect their purpose or their obligation to act in the interests of the Governing Body or Institution. When the Governing Body decides on works of art or artists present in the Collector's collection, the Collector shall immediately inform the fact and follow all applicable procedures, including, if such procedures require, abstention from voting. Collectors shall immediately disclose any similar roles or memberships - existing, new or future - that they occupy in other institutions.

DO NOT USE MEMBERSHIP FOR YOUR OWN COLLECTION Collectors do not ask to show any works of art from their collection in the Institution during their membership in the Governing Body. They can accept a request for such works of art only if it is requested by the Institution, the request is indeed based on the pre-existing independent curatorial choice of the Institution.

MEMBERSHIP FOR NON-PROFIT PURPOSES ONLY Collectors do not ask to buy or sell any works of art at the Institution or in favour of the Institution in exchange for their appointment or during their membership in the Governing Body. They can accept a request for the sale of such works of art only if it is requested by the Institution, the request is indeed based on the pre-existing independent curatorial choice of the Institution. AVOIDING INSIDER TRADES Collectors should not use insider information obtained as a member of the management body and considered confidential to benefit themselves or their collection. NO COMPETITION WITH THE INSTITUTION. Collectors deliberately do not compete, directly or indirectly, with the Institution for the purchase of works of art that are or may be of interest to the Institution. REFUSAL OF IMPROPER INCENTIVES OR REMUNERATION Collectors do not accept or request from anyone excessive hospitality or gifts, donations, free works of art, works of art at a price below a fair market price or any other benefits if they are or may be perceived as incentives or rewards to influence the exercise of their duties as members Governing body. VIGILANCE OF INSTITUTIONAL OBSERVANCE Collectors closely monitor the Institution's compliance with all applicable professional standards and rules and question any improper practices or behaviour they have witnessed at the Institution (for example, offensive behaviour towards staff, refusal to pay artists, attempts to evade taxes, etc.).
